1Introduction

These Terms & Conditions ("Terms") govern your use of HeyComps, operated by HeyComps Ltd [ Company number — to be inserted upon incorporation ], a company registered in England and Wales ("HeyComps", "we", "us", or "our").

By accessing or using the HeyComps platform — including our website, landing page, waitlist, member area, and vendor portal (collectively the "Platform") — you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms apply to all users including competition entrants ("Members"), Shopify store owners running competitions ("Vendors"), and visitors to our waitlist or public pages.

2Eligibility

To use HeyComps and enter competitions, you must:

• Be at least 18 years of age;
• Be a resident of the United Kingdom, unless a specific competition states otherwise;
• Have a valid email address and a HeyComps account in good standing;
• Not be an employee, contractor, director, or close family member of HeyComps or of the Vendor running a competition you wish to enter;
• Not be subject to any legal restriction that would prevent participation under UK law.

Vendors must additionally operate a legitimate, active Shopify store with current billing and agree to HeyComps' Vendor-specific terms in Clause 5.

3Accounts and Registration

To use core features of HeyComps, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Keep your account credentials secure and not share them with any third party;
• Notify us immediately at [email protected] if you believe your account has been compromised;
• Accept full responsibility for all activity that occurs under your account.

One account per person is permitted. Creating multiple accounts to gain additional competition entries or to circumvent any restriction is strictly prohibited and may result in permanent suspension.

We store account data securely using Supabase, a third-party database and authentication provider. By creating an account you consent to your data being processed as described in our Privacy Policy.

4Member Rules

As a Member (someone who enters competitions), you agree to the following:

4.1 Free membership

Free Members may enter up to ten (10) competitions simultaneously. Once a competition you have entered closes, that slot becomes available for a new entry.

4.2 Premium membership

Premium Members (currently priced at £19.00 per year) may enter an unlimited number of simultaneous competitions, receive discount codes earlier than Free Members, receive monthly entry credits, and access exclusive deals. Premium pricing and benefits may change with reasonable notice.

4.3 Entry conduct

• Entries are free of charge unless you choose to use optional entry credits;
• One entry per account per competition is permitted;
• Entries cannot be transferred, sold, or gifted to any third party;
• Automated, bot, or scripted entries are strictly prohibited;
• Entering a competition constitutes acceptance of all rules applicable to that specific competition.

4.4 Winning a prize

If you are selected as a winner, you will be notified by email. You must provide a valid UK delivery address within 48 hours of notification. Failure to do so may result in the prize being forfeited and an alternative winner being selected. Winners are responsible for any applicable taxes on prizes received.

HeyComps and the Vendor reserve the right to verify the identity and eligibility of any winner before releasing the prize.

5Vendor Rules

As a Vendor (a Shopify store owner running competitions on HeyComps), you agree to the following in addition to all general Terms:

5.1 Shopify integration

You must connect a legitimate, active Shopify store via OAuth. By connecting your store you authorise HeyComps to access the Shopify API scopes required to operate the platform, including reading products, managing inventory, creating discount codes, and receiving order webhooks. You may revoke access at any time by uninstalling the HeyComps app from your Shopify admin.

5.2 Security deposit

A refundable security deposit of £100.00 is required upon Vendor registration. This deposit will be returned in full upon account closure, provided all commission payments have been settled and no outstanding disputes remain.

5.3 Competition responsibilities

• You are responsible for ensuring prizes offered are genuine, legally permissible, and match the published description;
• Selected competition products will have inventory reserved in your Shopify store automatically when a competition goes live. You must not sell or otherwise dispose of reserved items;
• You must fulfil prizes to winners promptly upon receiving their delivery details via Shopify's fulfilment flow;
• All competitions must be submitted for approval. HeyComps reserves the right to decline any competition that does not meet our standards or policies;
• You must not run competitions for prohibited goods including but not limited to tobacco, alcohol, weapons, adult content, or regulated financial products.

5.4 Cancellation

If you cancel your HeyComps Vendor account, the platform integration will remain active for 60 days after the close of your last competition. This grace period allows remaining discount codes to be redeemed and applicable commissions to be calculated and billed before disconnection.

6Competitions

All competitions hosted on HeyComps are operated by independent Vendors. HeyComps acts as a marketplace facilitator and is not the promoter of any individual competition.

• Each competition will clearly state the prize, total prize value, discount percentage, competition duration, geographic eligibility, and entry rules;
• Winners are selected by a fully random automated draw at competition close unless otherwise stated;
• HeyComps and the Vendor reserve the right to cancel a competition in exceptional circumstances (e.g. product unavailability, technical failure, or evidence of fraud). In such cases, no entries will be charged and any reserved inventory will be restored;
• The total prize value displayed is calculated automatically from the Vendor's Shopify product data and is indicative. Actual retail values may vary.

7Discount Codes

Upon the close of a competition, HeyComps will automatically generate and assign a unique, single-use discount code to every eligible entrant. The following conditions apply:

• Codes are valid for use at the specific Vendor's Shopify store only;
• Codes are single-use and non-transferable — they may not be sold, gifted, or shared;
• Codes expire after a minimum of two (2) weeks from the competition close date (the exact expiry date is specified per competition, typically four weeks);
• Premium Members receive their codes up to two (2) hours before Free Members;
• HeyComps is not responsible if a Vendor's store is closed, temporarily unavailable, or has removed the relevant products before a code is redeemed;
• Codes cannot be applied in conjunction with other promotional offers unless explicitly stated by the Vendor;
• HeyComps reserves the right to void any codes obtained fraudulently or in breach of these Terms.

8Payments, Commission, and Billing

8.1 Member payments

Joining HeyComps and entering competitions is free of charge. Premium Membership is available at £19.00 per year and is billed through Stripe. Membership fees are non-refundable except where required by applicable consumer law.

8.2 Vendor commission

HeyComps charges Vendors a commission of 10% on the total value of each purchase made using a HeyComps-issued discount code. Commission is calculated on the net order value (after the discount) and is:

• Held for 30 days from the date of purchase to account for potential refunds;
• Aggregated and billed monthly via Shopify App Billing (usage charges), appearing on the Vendor's Shopify invoice;
• Automatically reversed if a full refund is issued by the Vendor within the 30-day hold period;
• Partially adjusted if a partial refund is issued, proportional to the refunded amount.

8.3 Premium vendor fees

Premium Vendor features (including featured competition placements and advanced analytics) are available for £14.99 per month, billed via Shopify App Billing. [ Final pricing to be confirmed prior to launch ]

9Intellectual Property

All content on the HeyComps Platform, including but not limited to the HeyComps name, logo, design, software, text, and user interface, is owned by or licensed to HeyComps and is protected by UK and international intellectual property laws.

You must not reproduce, distribute, modify, or create derivative works from any HeyComps content without our prior written consent.

When you submit content to HeyComps (for example, a Vendor uploading product descriptions or images), you grant HeyComps a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content for the purpose of operating and promoting the Platform. You retain ownership of your content.

Vendors are responsible for ensuring they hold all necessary rights to any content, images, or product information submitted to HeyComps.

10Liability and Disclaimers

To the fullest extent permitted by law:

• HeyComps provides the Platform on an "as is" and "as available" basis without warranty of any kind;
• HeyComps is not liable for the acts or omissions of Vendors, including failure to fulfil prizes, inaccurate product descriptions, or unavailability of discount codes due to store closure;
• HeyComps is not liable for any indirect, incidental, special, or consequential loss arising from use of the Platform;
• Our total aggregate liability to any user for any claim shall not exceed the greater of (a) £100 or (b) the total fees paid by you to HeyComps in the three months preceding the claim;
• Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11Prohibited Conduct

You must not use HeyComps to:

• Enter competitions using automated tools, bots, scripts, or any method other than genuine manual interaction;
• Create multiple accounts or use false identities;
• Manipulate, abuse, or attempt to exploit the discount code or commission system;
• Scrape, copy, or harvest data from the Platform without written authorisation;
• Attempt to gain unauthorised access to any part of the Platform or its underlying infrastructure;
• Upload or transmit malicious code, viruses, or harmful content;
• Harass, abuse, or harm other users or members of our team;
• Use the Platform in any way that violates UK law, EU law, or any other applicable legislation.

Violation of these rules may result in immediate account suspension, permanent ban, and where appropriate, referral to law enforcement authorities.

12Termination

You may close your HeyComps account at any time by contacting us at [email protected] or through your account settings. Any active competition entries at the time of closure will be withdrawn and any unrevealed discount codes will be forfeited.

HeyComps reserves the right to suspend or permanently terminate any account, with or without notice, for any breach of these Terms, suspected fraudulent activity, or for any reason we deem necessary to protect the integrity of the Platform and its users.

Upon termination, your licence to use the Platform ceases immediately. Clauses 9 (IP), 10 (Liability), 13 (Governing Law), and the Privacy Policy will survive termination.

13Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory consumer protection rights you hold under applicable law.

We will always try to resolve any dispute informally first. If you have a complaint, please contact us at [email protected] and we will aim to respond within five (5) business days.

14Changes to These Terms

We may update these Terms from time to time. When we do, we will:

• Update the "Last updated" date at the top of this page;
• Notify registered users by email for any material changes;
• Give at least 14 days' notice before material changes take effect.

Your continued use of HeyComps after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Platform and may close your account.

HeyComps ("we", "us", "our") is committed to protecting your personal data and respecting your privacy. This Privacy Policy explains what data we collect, why we collect it, how we use it, and your rights in relation to it.

This policy applies to all users of the HeyComps Platform, including visitors to our website and waitlist, registered Members, and Vendors. It should be read alongside our Terms & Conditions.

HeyComps is the data controller for the purposes of UK data protection law, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

2Data We Collect

We collect the following categories of personal data depending on how you interact with HeyComps:

2.1 Waitlist signups

• Email address — required for waitlist registration;
• Name — optional, provided at your discretion;
• Role selection — User or Vendor, as selected on our waitlist form;
• Source — how you arrived at our signup form (e.g., "landing_page");
• Submission timestamp — date and time of signup.

2.2 Member accounts

• Name, email address, username, and password (stored securely via Supabase Auth);
• Date of birth (to verify age eligibility);
• Country and city of residence;
• Category preferences and communication preferences;
• Competition entry history, discount codes issued and redeemed, and savings data;
• Entry streak and leaderboard participation data;
• Delivery address — collected only when you win a competition and agree to receive a prize;
• Stripe customer ID and subscription details (for Premium Members).

2.3 Vendor accounts

• Name, email address, business name, and store URL;
• Shopify shop domain and OAuth access token (stored encrypted);
• Competition, product, and order data synced from your Shopify store;
• Billing and commission records;
• Stripe customer and payment method information.

2.4 Automatically collected data

• IP address and browser type (for security logging);
• Pages visited and interactions within the Platform (for analytics and improvement);

3How We Use Your Data

We use your personal data for the following purposes and on the following legal bases under UK GDPR:

• To operate the Platform and deliver our services — legal basis: performance of a contract;
• To manage your account, competition entries, and discount codes — legal basis: performance of a contract;
• To process payments and calculate commissions — legal basis: performance of a contract and legitimate interests;
• To send you transactional emails (e.g. competition results, discount codes, winner notifications) — legal basis: performance of a contract;
• To send you marketing emails about new competitions, promotions, and platform updates — legal basis: consent (you may withdraw this at any time);
• To improve the Platform through analytics and usage data — legal basis: legitimate interests;
• To prevent fraud, abuse, and ensure security — legal basis: legitimate interests and legal obligations;
• To comply with legal and regulatory obligations — legal basis: legal obligation.

We will never use your data for purposes incompatible with those listed above without first seeking your consent.

4Data Storage — Supabase

HeyComps uses Supabase (supabase.com) as our primary database, authentication, and backend infrastructure provider. Supabase is built on PostgreSQL and is hosted on AWS infrastructure.

Data stored in Supabase includes all account information, competition data, entries, discount codes, commission records, and waitlist submissions. Supabase implements industry-standard encryption at rest and in transit using TLS/SSL.

Our Supabase project is hosted in the EU West (Ireland) AWS region. [ Confirm final hosting region with Supabase prior to launch ]

By using HeyComps, you acknowledge that your data is stored and processed on Supabase infrastructure. Supabase processes data as our data processor and is bound by data processing agreements in line with UK GDPR requirements.

We also use:

• Stripe — for payment processing. Stripe is PCI-DSS compliant. We do not store full card details on our servers.
• SendGrid — for transactional and marketing email delivery. Emails are transmitted securely.
• Shopify — Vendor store data is accessed via the Shopify Admin API. We store only the minimum data necessary from Shopify to operate the Platform.
• Vercel — our frontend is deployed on Vercel's infrastructure. [ Confirm Vercel data processing region prior to launch ]

5Data Sharing

We do not sell your personal data to any third party. We may share your data with:

• Vendors — limited data sharing occurs when you win a competition. We share your delivery address with the relevant Vendor solely for prize fulfilment purposes. Vendors are prohibited from using winner data for any other purpose;
• Service providers — Supabase, Stripe, SendGrid, Shopify, and Vercel, as described above, acting as data processors under appropriate contractual arrangements;
• Law enforcement and regulators — where required by applicable law, court order, or to protect the rights and safety of HeyComps, our users, or the public;
• Business transfers — in the event of a merger, acquisition, or sale of assets, personal data may be transferred as part of that transaction. We will notify you before your data is transferred and subject to a different privacy policy.

All third-party processors are required to handle your data securely and in accordance with UK GDPR and applicable data protection law.

6Cookies and Tracking

HeyComps uses cookies and similar tracking technologies on our website. These may include:

• Strictly necessary cookies — essential for authentication, session management, and security. These cannot be disabled;

7Your Rights

Under UK GDPR and the Data Protection Act 2018, you have the following rights regarding your personal data:

• Right to rectification — you can ask us to correct inaccurate or incomplete data;
• Right to erasure ("right to be forgotten") — you can request deletion of your personal data where we have no legitimate grounds to continue holding it;
• Right to restriction — you can ask us to restrict processing of your data in certain circumstances;
• Right to data portability — you can request your data in a structured, machine-readable format;
• Right to object — you can object to processing based on legitimate interests or for direct marketing purposes;
• Rights related to automated decision-making — you have the right not to be subject to solely automated decisions that significantly affect you.

You also have the right to lodge a complaint with the Information Commissioner's Office (ICO) at ico.org.uk if you believe we have mishandled your data. We would appreciate the opportunity to address your concerns before you contact the ICO.

8Data Retention

We retain your personal data only for as long as necessary for the purposes set out in this policy, or as required by law. In general:

• Active accounts — data is retained for the duration of your account;
• Closed accounts — data is anonymised or deleted within 90 days of account closure, except where retention is required for legal, tax, or audit purposes;
• Waitlist data — retained until the Platform launches and you convert to a full account, or for up to 24 months if no conversion occurs, after which it will be deleted;
• Financial and billing records — retained for 7 years from the relevant transaction date to comply with UK tax and accounting obligations;
• Email communication logs — retained for 12 months for debugging and compliance purposes;
• Webhook and system logs — retained for 90 days.

9Children's Privacy

HeyComps is not directed at or intended for use by anyone under the age of 18. We do not knowingly collect personal data from children. If we become aware that a person under 18 has provided us with personal data, we will take immediate steps to delete that information. If you believe a child has registered on our Platform, please contact us at [email protected].

10International Users and Data Transfers

HeyComps currently operates in the United Kingdom. Our primary data infrastructure is located within the UK or the European Economic Area (EEA). Any data transferred outside the UK or EEA will be subject to appropriate safeguards, such as Standard Contractual Clauses (SCCs) or adequacy decisions, in accordance with UK GDPR.

11Changes to This Privacy Policy

We may update this Privacy Policy from time to time to reflect changes in our practices, technology, legal requirements, or other factors. When we make changes, we will:

• Update the "Last updated" date at the top of this page;
• Notify registered users by email for material changes;
• Where required by law, seek your consent for changes to how we process your data.

We encourage you to review this policy periodically. Your continued use of HeyComps after changes are posted constitutes your acknowledgement of the updated policy.
